This Non-Commercial Open Source Software License (the "License" or “Agreement”) applies to any Software made available by its owner (the "Licensor"), and Derivative Works thereof, for use according to the following terms and conditions.

For purposes of this License:

“Software” means (i) the actual copy of all or any portion of code for program routines made accessible to You by Licensor pursuant to this Agreement, inclusive of backups, updates, and/or merged copies permitted hereunder or subsequently supplied by Licensor, including all or any file structures, programming instructions, user interfaces and screen formats and sequences as well as any and all documentation and instructions related to it.

“Derivative Works” means any and all derivatives and/or modifications created or made by You to the Software.

“You”, whether in upper or lower case, means an individual or a legal entity exercising rights under, and complying with all of the terms of, this License. For legal entities, "You" includes any entity that controls, is controlled by, or is under common control with you. You acknowledge and agree:

1.	Grant of Copyright License. Licensor grants You a worldwide, royalty-free, non-exclusive license to the Software for the duration of the copyright to redistribute and use for non-commercial purposes in source and binary forms, with or without modification, provided that the following conditions are met:

	- The Software is used solely for non-commercial purposes. It may not be used indirectly for commercial use, such as on a website that accepts advertising money for content. Non- commercial use does include use by a for-profit company in its research. For commercial use rights, contact the Office of Technology Commercialization at Purdue Research Foundation, at otcip@prf.org and inquire about RepoAudit.
	
	- Redistributions of source code must retain the above copyright notice, this list of conditions, and the disclaimer in Section 4 below.

	- Redistributions in binary form must reproduce the above copyright notice, this list of conditions and the disclaimer in Section 4 below in the documentation and/or other materials provided with the distribution.

5.	Limitation of Liability. Under no circumstances and under no legal theory, whether in tort (including negligence), contract, or otherwise, shall the Licensor be liable to anyone for any indirect, special, incidental, or consequential damages of any character arising as a result of this License or the use of the Software including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses. 6.	Acceptance and Termination. Your act of accessing or using the Software constitutes express assent to and acceptance of the terms and conditions of this License. 7.	Jurisdiction, Venue and Governing Law. Any action or suit relating to this License may be brought only in the courts of a jurisdiction wherein the Licensor resides or in which Licensor conducts its primary business, and under the laws of that jurisdiction without regard to its conflict- of-law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any use of the Software outside the scope of this License or after its termination shall be subject to the requirements and penalties of copyright or patent law in the appropriate jurisdiction. This section shall survive the termination of this License.

8.	Severability. If any provision or portion of any provision of this Agreement not essential to the purpose of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the You and Licensor that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect. To the extent legally permissible, any illegal, invalid or unenforceable provision of this Agreement shall be replaced by a valid provision which will implement the commercial purpose of the illegal, invalid or unenforceable provision. In the event that any provision essential to the purpose of this Agreement is held to be illegal, invalid or unenforceable and cannot be replaced by a valid provision which will implement the purpose of this Agreement, this Agreement and the rights granted herein shall terminate.
