SlateFlow Individual Contributor License Agreement

Version 1.0

Thank you for your interest in contributing to SlateFlow ("Project"). This Contributor License Agreement ("Agreement") documents the rights granted by You ("Contributor") to the SlateFlow project maintainers and users ("SlateFlow").

This Agreement is effective as of the date You first submit a Pull Request, issue report, or other contribution to the Project on GitHub.

1. Definitions

  • "You" (or "Your") refers to the individual or entity identified by the GitHub account submitting the contribution, and any authorized legal representatives acting on Your behalf.
  • "Contribution" means any original work of authorship (including source code, documentation, tests, or other materials) submitted to the Project via Pull Request, issue, email, or any other form of electronic, written, or verbal communication with SlateFlow maintainers.
  • "Copyright and Patent Rights" means all intellectual property rights owned or controlled by You at the time of submission, including copyright, patent rights, moral rights, trade secrets, and any other proprietary rights.
  • "SlateFlow" refers to the Project, its maintainers, distributors, licensees, and downstream users.

2. Copyright Retention (Non-Assignment)

You retain all copyright, patent rights, and other intellectual property rights to Your Contributions. You do not transfer ownership to SlateFlow. Instead, You grant SlateFlow the rights set forth in Section 3 below.

For clarity, this means:

  • You retain the right to use Your Contributions in your own projects
  • You retain the right to reuse portions of Your Contributions in future works
  • You retain the right to claim authorship of Your Contributions
  • SlateFlow acquires only the rights explicitly granted in this Agreement

3. License Grants

3.1 Grant of Copyright License

You hereby grant to SlateFlow and to recipients of SlateFlow's distributions a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, and distribute Your Contributions and such derivative works.

3.2 Grant of Patent License

You hereby grant to SlateFlow and to recipients of SlateFlow's distributions a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated below) patent license to make, use, offer to sell, sell, import, and otherwise transfer Your Contributions, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project as it was when the Contribution was submitted.

4. Sublicensing and Relicensing Rights

4.1 Broad Sublicensing Authorization

You grant SlateFlow and its users the unconditional right to sublicense Your Contributions under any license terms, including but not limited to:

  • Open-source licenses (MIT, Apache 2.0, GPL, AGPL, or any other OSI-approved license)
  • Proprietary, commercial, or closed-source licenses
  • Dual-licensing arrangements
  • SaaS, managed service, or cloud licensing models
  • Any combination or variant of the above

4.2 Relicensing Without Restriction

SlateFlow may relicense Your Contributions without restriction or further notice to You. This includes the right to:

  • Change the base license of the Project (e.g., from MIT to Apache 2.0 or proprietary)
  • Offer proprietary variants or commercial editions that incorporate Your Contributions
  • Distribute Your Contributions under multiple simultaneous licenses
  • License Your Contributions to third parties under terms not disclosed to You

5. Employer Authorization

If You are employed by, contracted to, or retained by a company, organization, government agency, or other entity:

  • (a) Authority: You represent and warrant that You have the legal authority to enter into this Agreement on behalf of Your employer or retaining entity and to bind them to the terms herein.

  • (b) Authorization: You represent and warrant that Your employer or retaining entity has expressly authorized You to contribute to the Project and to enter into this Agreement.

  • (c) Compliance: You represent and warrant that Your Contributions do not violate any employment agreement, non-compete clause, intellectual property assignment agreement, or other policy or obligation of Your employer or retaining entity. You are solely responsible for resolving any conflicts between this Agreement and Your employment or retaining relationship.

6. Representations and Warranties

You represent and warrant that:

  • (a) Authority: You have the legal right and authority to enter into this Agreement.

  • (b) Originality: Each Contribution submitted by You is Your original creation or is properly licensed from a third party.

  • (c) No Conflicts: Your Contribution does not infringe, dilute, or otherwise violate any third-party intellectual property rights, including patents, copyrights, trademarks, trade secrets, or moral rights.

  • (d) Compliance: Your Contribution complies with all applicable laws, regulations, and open-source licensing obligations.

  • (e) No Other Obligations: Your submission of a Contribution does not violate any agreement or obligation You have with any employer, educational institution, or third party.

7. Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, YOU PROVIDE YOUR CONTRIBUTIONS "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

SlateFlow is not obligated to accept Your Contribution. Acceptance of Your Contribution does not constitute acceptance of all future Contributions from You.

8. Moral Rights

To the extent permitted by law, You hereby waive any moral rights (including the right of attribution and the right to object to derogatory treatment) in Your Contributions with respect to uses by SlateFlow and its licensees and sublicensees as contemplated by this Agreement.

9. Effective Scope

This Agreement applies to:

  • All Contributions You submit to the Project after the date You first sign this Agreement
  • All Contributions You have already submitted to the Project prior to signing, effective retroactively

10. Miscellaneous

  • Governing Law: This Agreement is governed by the laws of the jurisdiction where SlateFlow's primary maintainers reside (or a neutral jurisdiction if not specified), without regard to conflict of laws principles.

  • Entire Agreement: This Agreement, together with the Project's LICENSE and CONTRIBUTING.md files, constitutes the entire agreement between You and SlateFlow regarding intellectual property contributions.

  • Amendment: SlateFlow may update this Agreement from time to time. Your continued contribution to the Project after an update constitutes acceptance of the updated terms. If You do not agree to updated terms, please cease contributing.

  • No Partnership: Nothing in this Agreement creates a partnership, agency, employment, or joint venture relationship between You and SlateFlow.

11. Signing

By submitting a Contribution to the SlateFlow Project, or by digitally signing this Agreement via the CLAassistant service, You agree to and accept the terms of this Contributor License Agreement.

No further documentation is required beyond your digital signature recorded by CLAassistant.
