This Contributor License Agreement (“Agreement”) is entered into by the individual or entity signing below (“You”) and Yu Wang (the “MIRIX Project Owner”), effective as of the latest signature date below.

The purpose of this Agreement is to clarify the intellectual-property rights granted by You to the MIRIX Project, administered by Yu Wang, and to ensure that the MIRIX Project Owner retains full rights to use, modify, and commercialize the MIRIX open-source project.

1. Definitions

  • Contribution – Any original work of authorship, including source code, documentation, or other material, that You submit to the MIRIX Project for inclusion in or documentation of the project.
  • Project – The MIRIX open-source project, administered by Yu Wang and released under an Open Source Initiative (OSI)–approved license.
  • Submit – The act of uploading, transmitting, or distributing a Contribution to a MIRIX repository or communication channel for the purpose of improving, discussing, or maintaining the Project.

2. Ownership and Grant of License

a. Your Rights

You retain ownership of all intellectual-property rights in your Contributions.

b. License to MIRIX Project Owner

You hereby grant Yu Wang (the MIRIX Project Owner) a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to:

  1. Use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense, distribute, and commercialize your Contributions;
  2. Incorporate your Contributions into MIRIX products, services, or derivative works (including commercial offerings and enterprise deployments); and
  3. Sublicense these rights to third parties as necessary for the MIRIX Project’s business or distribution activities.

This license includes the right for the MIRIX Project Owner to use your Contributions in both open-source and commercial contexts.

c. No Reciprocal Commercial Rights

You acknowledge and agree that this Agreement does not grant You or Your employer any right to commercially use, distribute, or license the MIRIX Project, its derivatives, or associated trademarks, except as expressly permitted in writing by Yu Wang (the MIRIX Project Owner).

3. Representations and Warranties

You represent that:

  1. Each of your Contributions is your original work, or you have the right to submit it.
  2. You have secured all necessary permissions from your employer or other third parties.
  3. Your Contribution does not violate any third-party rights.
  4. You have the authority to enter into this Agreement.

4. Patent License

You grant the MIRIX Project Owner a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license under your patent claims that are necessarily infringed by your Contribution or by the combination of your Contribution with the Project, to make, use, sell, offer to sell, import, and otherwise distribute the Contribution and derivative works thereof.

5. Disclaimer of Warranty

Unless required by law or agreed in writing, your Contribution is provided “AS IS” without warranties or conditions of any kind, including warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

6. Public Record

You understand and agree that your name, employer (if applicable), and details of your Contribution may be publicly listed as part of the MIRIX Project’s contribution history.

7. Governing Law

This Agreement will be governed by and construed under the laws of the State of California, without regard to conflict-of-laws principles. You consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California.

8. Entire Agreement

This Agreement constitutes the entire understanding between You and Yu Wang (the MIRIX Project Owner) concerning Contributions to the MIRIX Project and supersedes any prior agreements.
