<h1>Privacy Policy</h1>

<p>At Billistic, our most important asset is our relationship with you. Billistic (“Billistic” or “we” or “us”) is committed to maintaining the confidentiality, integrity, and availability of Personally Identifiable Information for our current and prospective users. We take the utmost care in protecting your privacy when you visit Billistic.com (the “Site”) or use the service we provide (the “Service”). This Privacy Policy explains how we collect, use, and disclose information that we collect about you through the Service and how we protect the security of your Personally Identifiable Information. We regularly re-evaluate our privacy and security policies and adapt them as necessary to address new developments and new challenges.</p>

<li><strong>We limit the information we collect.</strong> Information will be collected directly by Billistic require any third party services provider to hold your information securely and in confidence and to use it only to fulfill the function(s) they have been retained to perform. Billistic collects the following categories of information about you through the Service:

<li>Information That You Enter. We will collect any Personally Identifiable Information that you provide when you register for Billistic and that you choose to enter through the Service (including in comments or other content that you submit to us). This will include information that we can use to contact or identify you as an individual, such as your name, email address, and zip code (“Personally Identifiable Information”).For third party websites that you wish to access and manage through our Service (your “Accounts”), we also will collect the passwords and user names that you provide to us. We will only use this information in order to access those third party websites on your behalf for purposes of providing the Service. We will ask you for information when you register, or at other times, such as if you choose to post to our blogs or respond to surveys that we may offer. Please note that any Personally Identifiable Information you voluntarily submit on a blog or other public areas we will from time to time offer on the Site can be viewed and used by other users, and could be used to send you unsolicited messages. Billistic is not responsible for your disclosure of information in these forums. To request removal of your personal information from our blog or community forum, contact us at [email protected]. In some cases, we may not be able to remove your personal information. If that is the case we will let you know if we are unable to do so and why.</li>
<li>Information from Third Party Web Sites. In order to display financial information to you within the Service, we collect, on your behalf, and aggregate (for your viewing only) account information, documents, and other Personally Identifiable Information from Accounts that you register on the Service.</li>
<li>o Automated Access Information. Through a variety of methods that are widely used on the Internet, we also will automatically collect information about your computer or mobile device when you access and use the Site. For example, when you visit Billistic.com, we may collect your Internet Protocol (“IP”) address, which is a number automatically assigned to your computer by your Internet Services Provider whenever you use the Internet. We also may collect and retain information about the pages you visit on the Billistic.com website; the website or search engine, if any, that referred you to Billistic.com; the websites you visit after Billistic.com; other information about the type of web browser, computer, platform, related software and settings you are using; any search terms you have entered on this website or a referral site; other web usage activity and data logged by our web servers; and information relating to advertising, such as the ads you see, and the ads you click on. Similarly, if you use a mobile device to access the Services, we may collect information about that device, such as the type of mobile device you use, your mobile telephone number, or a device identifier, as well as the date, time, and content of your messages relevant to your use of our mobile services. As the Internet evolves, we may also collect other types of information, consistent with this Privacy Policy and our Terms of Use. We use this automated information for internal system administration, to help diagnose problems with our server, and to administer our website. Such information also may be used to gather broad demographic information, such as country of origin and Internet Service Provider. We may also use this information to serve you ads on Billistic or elsewhere on the internet that we think you may find of interest. We also may link this information with your Personally Identifiable information when we feel that it is necessary to enforce compliance with our rules and policies or Terms of Use or to protect our Site, customers, or others.</li>

<li>We use your Personally Identifiable Information for these purposes:

<li>for internal system administration;</li>
<li>to help diagnose problems with our server;</li>
<li>to administer the Site and analyze Site usage on an anonymous basis;</li>

<li>to furnish you with Billistic alerts and other account information via Shared Registration Sites;</li>
<li>to enforce compliance with our rules and policies or Terms of Use;</li>
<li>to contact you to provide information about Billistic, the Service, or changes to this Privacy Policy or our Terms of Use;</li>
<li>to send you offers from Billistic and your Account providers;</li>
<li>to respond to your requests, questions, and comments; and</li>
<li>to protect our rights and the rights of others, including to enforce our Terms of Use, to detect and protect against error, fraud, or other criminal activity, to respond to legal process and defend against legal claims, and as otherwise required by law, as determined by Billistic in its sole discretion.</li>
</ul>
We may also partner with third parties to allow them to recognize Billistic cookies in order to display Billistic alerts and other account information to you while you are on their site or accessing their services; similarly, these third party partners may provide us with your user registration information to enable you to access your Billistic account by using that third party registration (“Shared Registration Sites”). Your activities on those Shared Registration Sites will be governed by the separate privacy policies of such sites.
We may also partner with third parties to provide services that allow you to transfer information from the accounts that Billistic manages on your behalf to the third party sites so that those sites can provide you with further tools and services ("Service Accounts"). Your activities on those Service Accounts will be governed by the separate privacy policies of such sites.

<li>3. We do not sell your Personally Identifiable Information. We do not and will not sell or rent your Personally Identifiable Information to anyone, for any reason, at any time. We may share your Personally Identifiable Information only as follows:

<li>with the providers of your Accounts in order to provide you with the Service;</li>
<li>with authorized vendors that help us provide the Service or perform other business functions for us, such as sending emails or hosting the Site (but these vendors are not permitted to use Personally Identifiable Information that we provide for any purpose other than to provide services to us);</li>
<li>with Shared Registration Sites to enable them to display Billistic alerts and other account information as described above;</li>
<li>With Service Accounts to allow you to take advantage of the tools and services offered by those sites as described above; </li>
<li>to respond to subpoenas, court orders, or other legal process; in response to a request for cooperation from law enforcement or another government agency; or to establish or exercise our legal rights; or to defend against legal claims;</li>
<li>when we believe it is necessary, in our sole discretion, to investigate, prevent, or take action regarding illegal activities; or as otherwise required by law;</li>
<li>on an anonymized basis for valid business purposes;</li>
<li>to enforce our Terms of Use and other agreements; or otherwise protect or defend the rights or property of Billistic, its affiliates, or others; or the safety of the public; or to a successor in interest to our business in the event of a divestiture, merger, consolidation, asset sale, change of control or transfer of our business. You will be notified via email and/or a prominent notice on our Web site of any change in ownership or uses of your personal information, as well as any choices you may have regarding your personal information.</li>

<li>How we use cookies and other technologies. Billistic uses various technologies to store information on your computer and / or mobile device and to provide you with content, including cookies and web beacons. Cookies are text files we place in your computer's and / or mobile device’s browser. These will be used to store your preferences, to personalize your experience at the Site, and to save your password. If you want to use the Service, you must leave cookies enabled. The Service will not work without them. Billistic does not act on Do Not Track requests from your browser. Doing so allows Billistic to personalize your experience on our site and to have access to content we think you will find relevant. Web beacons are electronic files that allow us and our advertisers to count users or to access certain cookies to enable the delivery of information tailored to your interests. Billistic (or third party services providers on our behalf) may also use cookies and other technologies to collect aggregate information about web site users on an anonymous basis (“Anonymous Information”). We may share Anonymous Information with our prospective and actual business partners, Shared Registration Sites, advertisers and other third parties for any business purpose including, without limitation, to serve you ads (see section 6 below). Some of our third party partners (including advertisers, Shared Registration Sites and marketing services companies) may set and access cookies and similar technologies on your computer as well, or we may do so on their behalf. We do not have control over how these third parties use such cookies and similar technologies or the information derived therefrom. Our Web site also includes Social Media Features, such as the Facebook Like button [and Widgets, such as the Share this button or interactive mini-programs that run on our site]. These Features may collect your IP address, which page you are visiting on our site, and may set a cookie to enable the Feature to function properly. Social Media Features and Widgets are either hosted by a third party or hosted directly on our Site. Your interactions with these Features are governed by the privacy policy of the company providing it. </li>
<li>We protect the information we collect. We take the privacy of your personal information very seriously. We use firewall barriers, TSL 256-bit encryption techniques and authentication procedures, and other technical measures to maintain the security of your online session and to protect Billistic accounts and systems from unauthorized access. To learn more about our security practices see [email protected]. We strive to use the highest commercially acceptable means to protect your Personally Identifiable Information, but no method of transmission over the Internet, or method of electronic storage, can be 100% secure at all times. Therefore, we cannot guarantee the absolute security of your Personally Identifiable Information. In the unlikely event that we believe that the security of your Personally Identifiable Information in our possession or control may have been compromised, we will seek to notify you as promptly as possible in the circumstances, by email or other means where we deem in our discretion that such notification is appropriate. Billistic also has designed a security program to protect the security of customer information, protect against any anticipated threats or hazards to the security of that information, and protect against unauthorized access to such information that could result in harm to our customers. Under the Billistic security program, only Billistic employees whose job functions require access to customer information will have access to your Personally Identifiable Information, and even in those cases they will only be authorized to use it for the purposes that are required to provide the Service and otherwise comply with our Terms of Use. All Billistic employees undergo financial and criminal background checks as a condition of employment. Your personal data and documents are encrypted and stored in a facility protected by 24 x 7 security and biometric controls. We don’t store your personal information in logs or other unsecured repositories, and we don’t search or extract data from your documents.</li>
<li>Third-party advertisements and websites. In addition to ads and content that we serve you directly, we use third-party advertising companies and marketing services companies to serve ads and other content when you visit Billistic and elsewhere on the internet and in other media. In the course of doing so, a unique third-party cookie may be placed or recognized on your browser by such companies. In addition, we and these companies may use Web beacons to help manage our online advertising and content. These Web beacons enable us and the third-party companies to recognize a browser’s cookie when a browser visits this site and to learn which banner ads bring users to our website and to serve you ads that you may find of interest elsewhere on the internet and in other media. Both Billistic and these companies may use information obtained from your visits to the Site (including your status as a customer of Billistic and a holder of your Accounts), other websites, and information received from you offline in order to provide advertisements about goods and services and other content of interest to you across the internet and in other media. For example, if your Accounts include frequent flyer programs, we may assume you are a travel enthusiast and you may be served travel related ads. Your Accounts may also serve you ads while you are visiting Billistic. If you would like more information about this practice and to know your choices about not having this information used in this manner by our third party advertising companies please visit http://www.networkadvertising.org/optout_nonppii.asp. The Site includes Widgets, which are interactive mini-programs that run on the Service to provide specific services from another company (e.g. displaying the news, opinions, music, etc). Personal information, such as your email address, may be collected through the Widget. Cookies may also be set by the Widget to enable it to function properly. Information collected by this Widget is governed by the privacy policy of the company that created it.The Site will contain links to and ads from, third-party websites, partners (including Shared Registration Sites), and sponsors, whose privacy and information security practices will be different than ours. Billistic does not control the privacy practices of other websites or businesses to which we provide hyperlinks or access, and the information practices of such companies are not covered by this Privacy Policy. Accordingly, if you choose to access any of these third-party websites or services, you should read the privacy notices and user disclosures on those other websites and evaluate their practices before deciding to disclose any information or use any services.</li>
<li>Commercial Email Messages/Ability to "opt-out.”Registered users of the Service will be sent periodic commercial emails. If you no longer wish to receive emails from Billistic, please send an email to [email protected]. Please note that, even if you opt-out of receiving commercial emails from us, we may still contact you to provide you with non-commercial messages, such as Service-related emails or billing or legal notices. </li>
<li>Children’s privacy. Billistic’s Terms of Use require that a user be at least eighteen years of age or above. We do not knowingly collect personal information from children under the age of eighteen. Should we learn that a child under the age of eighteen has provided us with personal information, we will delete that information from our database and terminate that account. </li>
<li>Non-U.S. users. Billistic is based in the United States and our offices are headquartered in the United States. If you are located outside of the United States, the information you provide to us will be processed and transferred to the United States and be subject to U.S. law. By using the Site, participating in the Service, or by providing us with your information, you consent to this collection, transfer, storage, and processing of information to and in the United States. </li>
<li>Managing your Account. You have control of your personal information on the Site. To edit or change your personal information, logon to the Site, go to the Manage Profile tab under your name in the Billistic tool bar and make the appropriate changes. You will be asked to confirm the changes. If you change your email address confirming emails will be sent to both your old and new email addresses. You must click the Save button at the bottom of the Manage Profile page to finalize the email update. To cancel your account, logon to the Site, go to the Manage Profile tab under your name in the Billistic tool bar. Scroll to the bottom of the Manage Profile page and select Delete Your Billistic Account. You will be asked to confirm your deletion; select Continue. Your account will be deleted in 30 days following your confirmation of the deletion. </li>
<li>Ownership of data; deletion of account. Your data belongs to you, and you may cancel your account at anytime by following the procedures described above for cancelling an account. If you ask us to delete your account, we will use commercially reasonable efforts to remove your documents and personally identifiable data (including data that allows us to access the Accounts that you previously set up on the Service) from our servers. Despite such removal, portions of your data may remain on our servers indefinitely. We will retain your information for as long as your account is active. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. You will be responsible for notifying any Accounts that have ceased delivery of hard copy mail that you wish to receive documents from them by means other than the Service. Billistic shall not have any liability in the event that an Account fails to communicate with you via alternate means. </li>
<li>TRUSTe Privacy Program. Billistic, LLC has been awarded TRUSTe's Privacy Seal signifying that this privacy policy and practices have been reviewed by TRUSTe for compliance with TRUSTe's Program Requirements http://www.truste.com/privacy-program-requirements/ including transparency, accountability and choice regarding the collection and use of your personal information. The TRUSTe program does not cover information that may be collected through downloadable software. TRUSTe's mission, as an independent third party, is to accelerate online trust among consumers and organizations globally through its leading privacy trustmark and innovative trust solutions. <li>Changes to this policy. We reserve the right at our discretion to update this Privacy Policy in the future. We will notify you about material changes to this Privacy Policy by sending a notice to the email address you provided to us or by placing a notice on the home page of the Service prior to the change becoming effective. Continued use of the Service after any update constitutes your agreement to the new Privacy Policy for any information collected after the update. <p>Welcome to Billistic, which is made available by Billistic, LLC ("Billistic" or "we" or "us"). These Terms of Use ("Terms of Use") govern your use of the Billistic.com website ("Site"), and all other aspects of the personal account management service we provide (the "Service").
Please read these Terms of Use carefully before using our Service. By using our Service you accept these Terms of Use. If you do not agree to these Terms of Use, you may not access or otherwise use the Site or the Service.</p>
<ol>
<li>Changes to Terms of Use. We reserve the right, in our sole discretion, to change, modify, add, or remove portions of the Terms of Use at any time, so we encourage you to review the Terms of Use periodically. The most current version of the Terms of Use (along with its effective date) will be linked from our homepage. Your continued use of the Site or the Service after any revisions to the Terms of Use have been posted will be considered acceptance of those changes.</li>
<li>Privacy Policy; Additional Terms. Our Privacy Policy describes our practices concerning data that you provide or that we may collect or share about you through the Service, and by accepting these Terms of Use, you consent to our collection, use, and disclosure of data in compliance with our Privacy Policy. Any commercial or promotional distribution, publishing, or exploitation of the Service, or any content, code, data, or materials on the Service, is strictly prohibited unless you have received the express prior written permission from authorized personnel of Billistic or the otherwise applicable rights holder. Other than as expressly allowed herein, you may not download, post, display, publish, copy, reproduce, distribute, transmit, modify, perform, broadcast, transfer, create derivative works from, sell, or otherwise exploit any content, code, data, or materials on or available through the Service. You further agree that you may not alter, edit, delete, remove, otherwise change the meaning or appearance of, or repurpose, any of the content, code, data, or other materials on or made available through the Service. This includes, without limitation, the alteration or removal of any Trademarks (as defined in Section 6 below) or any other proprietary content or proprietary rights notices. If you make other use of the Service, or the content, code, data or materials thereon, except as otherwise provided above, you may be subject to liability for such unauthorized use (including, without limitation, for violations of copyright and other applicable laws). The Service is not intended for use by minors under the age of 18. No one under age 18 is allowed to provide any personally identifiable information or use any public discussion areas, forums, and chats. To subscribe to newsletters and to participate in other activities where personal information is divulged, you must be 18 or older and by your use thereof, you represent and warrant that you are over the age of 18.</li>
<li>Trademarks. The trademarks, logos, service marks, and trade names (collectively the "Trademarks") displayed on the Service or on content available through the Service are registered and unregistered Trademarks of ours and others and may only be used in accordance with Section 4 above, provided that such use may not be likely to cause customer confusion or, in any manner, disparage, or discredit their rights holders. All Trademarks not owned by us that appear on the Service, if any, are the property of their respective owners. <li>Account Information/Registration Information. Users of the Service may direct Billistic to retrieve their own information ("Account Information") maintained online by third-party financial institutions, subscription providers, membership clubs, and other third parties with which they have customer relationships, maintain accounts, or engage in financial transactions ("Accounts"). Billistic facilitates access of this Account Information on the Service by engaging in agreements with third party account providers, or through information inputted by users on the Service. Billistic makes no effort to review the Account Information for any purpose, including but not limited to accuracy, legality, or non-infringement. Billistic is not responsible for the products and services offered by or on third-party sites. Billistic cannot always foresee or anticipate technical or other difficulties that may result in failure to obtain data or loss of data, personalization settings, or other service interruptions. Billistic does not assume responsibility for the timeliness, accuracy, deletion, non–delivery, or failure to store any user data, communications or personalization settings. For example when displayed on the Service, Account Information is only as fresh as the time shown, which reflects when the information is obtained from such third party websites. Such information may be more up-to-date when obtained directly from the relevant websites. You can refresh your Account Information through the Service, in the manner prescribed in the associated instructions on the Accounts Tab and the account detail pages. You represent, warrant, acknowledge and agree that you are solely responsible for the accuracy and content of your Account Information. Our information collection and use policies with respect to the privacy of such Account Information are set forth in the Privacy Policy, which is incorporated herein by reference for all purposes. In the event that we engage the services of third party vendors or other service providers, your Account Information may be subject to the information collection and use policies with respect to the privacy thereof of such third party vendors and other service providers. We may share Account Information with third parties, including, without limitation, vendors or other service providers, affiliates and partners, as necessary to provide the Billistic Services to you. In order to provide the Service, you may ask us to acquire Account Information on your behalf from third-party websites that are governed by privacy provisions of federal laws, including the Communications Act of 1934, the Health Insurance Portability and Accountability Act, and the Gramm-Leach-Bliley Act. You consent to our accessing, receiving and storing this information on your behalf. You agree and understand that you are responsible for maintaining the confidentiality of your password which, together with your Login ID email address, allows you to access the Service. That Login ID and password, together with any mobile number or other contact information you provide constitute your "Registration Information. "By providing us with your email address, you agree to receive all required notices electronically, to that email address. It is your responsibility to update or change that address, as appropriate. Notices will be provided in HTML (or, if your system does not support HTML, in plain-text) in the text of the email or through a link to the appropriate page on the Site, accessible through any standard, commercial available Internet browser. In order for the Service to function effectively, you must also keep your Account Information and Registration Information up to date and accurate. If you do not do this, the accuracy and effectiveness of the Service will be affected. By using the Service, you expressly authorize Billistic to access your Account Information maintained by identified third parties, on your behalf as your agent. Without limiting the foregoing, if the Account Information relates to an account held with any entity governed by the Telecommunications Act of 1966 and/or any rules or regulations of the Federal Communications Commission, you hereby grant your consent to the transmission of such Account Information to Billistic. When you use the "Add Accounts" feature of the service, your Account Information will be passed to the website for the third party you have identified. Billistic will submit information including usernames and passwords that you provide, to log in as you at the website for each Account. You hereby authorize and permit Billistic to use and store information submitted by you to the Service (such as account passwords and user names) to accomplish the foregoing and to configure the Service so that it is compatible with the third party sites for which you submit your Account Information. For purposes of these Terms of Use and solely to provide the Account Information to you as part of the Service, you grant Billistic a limited power of attorney, and appoint Billistic as your attorney-in-fact and agent, to access third party sites, retrieve and use your Account Information with the full power and authority to do and perform each thing necessary in connection with such activities, as you could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN BILLISTIC IS ACCESSING AND RETRIEVING ACCOUNT INFORMATION FROM THIRD PARTY SITES, BILLISTIC IS ACTING AS YOUR AGENT, AND NOT AS THE AGENT FOR OR ON BEHALF OF THE THIRD PARTY. You understand and agree that the Service is not sponsored or endorsed by any third parties accessible through the Service.</li>
<li>Submitted Materials. Any information, creative works (including, without limitation, text, photographs, graphics, audio, visual and audiovisual content), demos, ideas, suggestions, concepts, methods, systems, designs, plans, techniques or other materials submitted or sent to us via the public areas of the Service (including, for example and without limitation, that which you submit to review/ratings boards and/or our blogs) ("Submitted Materials") will be deemed not to be confidential or secret, and may be used by us in any manner consistent with the Privacy Policy. Billistic will not accept responsibility for any information included in any Submitted Materials created or posted by users. You alone are responsible for the content and consequences of any and all of your activities and you submit Submitted Materials at your own risk.

<li>Consent to Cease Receipt of Hard Copies. By registering with Billistic and providing Account Information, you consent to stop receiving hard copy mailings of certain documents as applicable, including, but not limited to, bills, notices, statements and offers, from the applicable Account. Notwithstanding the foregoing, you acknowledge and agree that Billistic does not control the practices of Account providers and that each Account provider may, at its discretion, continue to provide you with hard copy mailings, and therefore Billistic does not represent or warrant that your use of the Service will result in the cessation of mailings by third party Accounts. Certain Account providers will not be aware that you have added your Account with them to the Service and therefore, they may continue to send you mailings. In some instances, Billistic may notify you (at the request of the Account provider) when that Account provider will cease sending you hard copy mailings and/or obtain your consent to stop receiving hard copy mailings from a specific Account provider. In other instances you will not be notified and/or be asked to provide a separate consent. Billistic assumes no responsibility, and shall not be liable for, your failure to take any action or inaction with respect to any Account or your failure to receive any information with respect to any Account, regardless of whether you have added such Account to the Service and regardless of whether you do or do not receive hard copy mailings from an Account provider. Your registration with Billistic does not entitle you to receive any premium or incentive offer that an Account may have provided if you had notified that Account directly of your election to cease receipt of hard copy mailings.</li>

<li>Using the Service in violation of Billistic's or any third party's intellectual property or other proprietary, privacy, or legal rights;</li>
<li>Using the Service in violation of any applicable law;</li>
<li>Attempting (or encouraging or supporting anyone else's attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Service, or any content thereof, or make any unauthorized use thereof;</li>
<li>Using the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service; or</li>
<li>Obtaining or attempting to obtain any materials or information through any means not intentionally made publicly available or provided for through the Service.</li>

<li>Right to Monitor and Editorial Control. Billistic reserves the right, but does not have an obligation, to monitor and/or to review all Submitted Materials and Billistic is not responsible for any such materials posted by users. Billistic is not responsible for any failure to monitor, review, and/or delete any materials posted to the Service by users. However, Billistic reserves the right at all times to disclose any information as necessary or advisable to satisfy any law, regulation, or government request; and to edit, to refuse to post or to remove any information or materials, in whole or in part, that, in Billistic's sole discretion, are objectionable or in violation of these Terms of Use, Billistic's policies or applicable law, regulation, or government request or for any reason whatsoever. We may impose limits on certain features of the forums or restrict your access to part or all of the forums without notice or penalty if we believe you are in breach of the guidelines set forth in our Terms of Use or in violation of applicable law, or for any other reason without notice or liability.</li>
<li>Transactions or Relationships Formed Between Users on the Site. Some materials or information accessible on the Service may be provided by other users and not by Billistic (including, for example and without limitation, advertisements for third party services, submissions to blogs and other public forums, and activities on Shared Registration sites and Service Accounts as those terms are defined in the Privacy Policy). Also, Billistic is not responsible for any form of transmission received from any linked website.</li>

<li>Applicable Laws. We control and operate the Service from our offices in the United States of America. We do not represent that materials on the Service are appropriate or available for use in other locations. Persons who choose to access the Service from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable. All parties to these terms and conditions waive their respective rights to a trial by jury.</li>
<li>Termination. We may terminate, change, suspend or discontinue any aspect of the Service or the Services (including, without limitation, content, features, or hours of availability), at any time and for any reason. We also reserve the right to transfer our business and the Service to a third party. If we discontinue operating all or any portion of the Service, or if you terminate your account with Billistic, your Account Information will no longer be accessible here. It will be solely your responsibility to establish an alternative means to access information from the holders of your Accounts and to arrange for payment of any debts owed to an Account holder. If we transfer all or any portion of our business, your Registration Information and Account Information will be transferred to the third party transferee. We may restrict, suspend or terminate your access to the Service if we believe you are in breach of our terms and conditions or applicable law, or for any other reason without notice or liability. If we have banned you from the Service, you may not return to the Service for any reason or in any manner. Once you have been banned from use of the Service, you may not thereafter use the Service under a new username or identity. In the event that you do return, or attempt to return, to the Service after you have been banned, you will be deemed to have breached these Terms of Use, and we reserve the rights to obtain reimbursement from you for any costs and expenses incurred to enforce these Terms of Use and otherwise to pursue all rights and remedies available to it at law or in equity with respect to such breach. We maintain a policy to terminate the Service use privileges of users who repeatedly infringe the intellectual property rights of others (including our own). If you have not accessed the Service for a period greater than nine (9) months your account will be considered inactive and we will notify you of our intent to remove your stored documents from the Service. We may offer you the ability to continue to store your documents for a fee. If you indicate you are terminating the Service, or fail to respond to the notice within one (1) month of sending, we will retain your stored documents for an additional grace period of three (3) months. During that period it is solely your responsibility to copy the stored documents to an alternate location. After the three (3) month grace period we will remove your documents from the Service.</li>
<li>Dispute Resolution. PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS.

<li>Except for either party's claims of infringement or misappropriation of the other party's patent, copyright, trademark, or trade secret, any and all disputes between you and Billistic arising under or related in any way to this Agreement, must be resolved through binding arbitration as described in this section. This agreement to arbitrate is intended to be interpreted broadly. It includes, but is not limited to, all claims and disputes relating to your use of the Site and Services.</li>
<li>You agree that by entering into this agreement, you and billistic are each waiving the right to trial by jury or to participate in a class action. you and billistic agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. any arbitration will take place on an individual basis; class arbitrations and class actions are not permitted.</li>
<li>The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes of the American Arbitration Association ("AAA"), as modified by this section. For any claim where the total amount of the award sought is $10,000 or less, the AAA, you and Billistic must abide by the following rules: (a) the arbitration shall be conducted solely based on written submissions; and (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties. If the claim exceeds $10,000, the right to a hearing will be determined by the AAA rules, and the hearing (if any) must take place in your choice of the following locations: San Francisco, CA, Denver, CO, or New York, NY. The arbitrator's ruling is binding and may be entered as a judgment in any court of competent jurisdiction. In the event this agreement to arbitrate is held unenforceable by a court, then the disputes that would otherwise have been arbitrated shall be exclusively brought in the state or federal courts located in New York City, New York. Claims of infringement or misappropriation of the other party's patent, copyright, trademark, or trade secret shall be exclusively brought in the state and federal courts located in New York City, New York.</li>
