| 5 | +These license terms are an agreement between you and Microsoft |
| 6 | +Corporation (or one of its affiliates). They apply to the pre-release |
| 7 | +software named above and any Microsoft services or software updates |
| 8 | +(except to the extent such services or updates are accompanied by new or |
| 9 | +additional terms, in which case those different terms apply |
| 10 | +prospectively and do not alter your or Microsoft's rights relating to |
| 11 | +pre-updated software or services). IF YOU COMPLY WITH THESE LICENSE |

| 15 | +1. **INSTALLATION AND USE RIGHTS.** |

| 17 | + - a\) General. You may install and use any number of copies of the |
| 18 | + software only with Microsoft Visual Studio and successor |
| 19 | + Microsoft products and services to develop and test your |
| 20 | + applications. |
| 21 | + |
| 22 | + - b\) GitHub Copilot and Other Third-Party Components. The |
| 23 | + software contains libraries that enable you to interact with the |
| 24 | + GitHub Copilot service ("Copilot") offered by GitHub, Inc. |
| 25 | + ("GitHub"). You must separately obtain access to Copilot to use |
| 26 | + this functionality, and your use of Copilot is pursuant to the |
| 27 | + separate agreement(s) between you and GitHub, including any data |
| 28 | + collection provisions. The software may also include third-party |
| 29 | + components with separate legal notices or governed by other |
| 30 | + agreements, as may be described in the notices file(s) |
| 31 | + accompanying the software. |

| 33 | +2. **PRE-RELEASE SOFTWARE.** This software is a pre-release version. It |
| 34 | + may not operate correctly or work the way a final version will. |
| 35 | + Microsoft may change it for the final, commercial version. Microsoft |
| 36 | + is not obligated to provide maintenance, technical support or |
| 37 | + updates to you for the software. |

| 39 | +3. **CONFIDENTIAL INFORMATION. **The software, including its user |
| 40 | + interface, features and documentation, is confidential and |
| 41 | + proprietary to Microsoft and its suppliers. |

| 43 | + - a\) Use. For two years after installation of the software or its |
| 44 | + commercial release, whichever is first, you may not disclose |
| 45 | + confidential information to third parties. You may disclose |
| 46 | + confidential information only to your employees and consultants |
| 47 | + who need to know the information. You must have written |
| 48 | + agreements with them that protect the confidential information |
| 49 | + at least as much as this agreement. |

| 51 | + - b\) Survival. Your duty to protect confidential information |
| 52 | + survives this agreement. |

| 54 | + - c\) Exclusions. You may disclose confidential information in |
| 55 | + response to a judicial or governmental order. You must first |
| 56 | + give written notice to Microsoft to allow it to seek a |
| 57 | + protective order or otherwise protect the information. |
| 58 | + Confidential information does not include information that: |
| 59 | + |
| 60 | + - becomes publicly known through no wrongful act; |
| 61 | + |
| 62 | + - you received from a third party who did not breach |
| 63 | + confidentiality obligations to Microsoft or its suppliers; |

| 66 | + - you developed independently. |

| 68 | +4. **FEEDBACK. **If you give feedback about the software to Microsoft, |
| 69 | + you give to Microsoft, without charge, the right to use, share and |
| 70 | + commercialize your feedback in any way and for any purpose. You will |
| 71 | + not give feedback that is subject to a license that requires |
| 72 | + Microsoft to license its software or documentation to third parties |
| 73 | + because we include your feedback in them. These rights survive this |
| 74 | + agreement. |

| 76 | +5. **TIME-SENSITIVE SOFTWARE.** |

| 78 | + - • Period. This agreement is effective on your acceptance and |
| 79 | + terminates on the earlier of (i) 30 days following first |
| 80 | + availability of a commercial release of the software or (ii) |
| 81 | + upon termination by Microsoft. Microsoft may extend this |
| 82 | + agreement in its discretion. |

| 84 | + - • Notice. You may receive periodic reminder notices of this date |
| 85 | + through the software. |

| 87 | + - • Access to data. You may not be able to access data used in the |
| 88 | + software when it stops running. |

| 90 | +6. **SCOPE OF LICENSE. **The software is licensed, not sold. This |
| 91 | + agreement only gives you some rights to use the software. Microsoft |
| 92 | + reserves all other rights. For clarification Microsoft, or its |
| 93 | + licensors, retains ownership of all aspects of the software. Unless |
| 94 | + applicable law gives you more rights despite this limitation, you |
| 95 | + may use the software only as expressly permitted in this agreement. |
| 96 | + In doing so, you must comply with any technical limitations in the |
| 97 | + software that only allow you to use it in certain ways. For example, |
| 98 | + if Microsoft technically limits or disables extensibility for the |
| 99 | + software, you may not extend the software by, among other things, |
| 100 | + loading or injecting into the software any non-Microsoft add-ins, |
| 101 | + macros, or packages; modifying the software registry settings; or |
| 102 | + adding features or functionality equivalent to that found in |
| 103 | + Microsoft products and services. You may not: a) work around any |
| 104 | + technical limitations in the software that only allow you to use it |
| 105 | + in certain ways; b) reverse engineer, decompile or disassemble the |
| 106 | + software, or otherwise attempt to derive the source code for the |
| 107 | + software, except and to the extent required by third party licensing |
| 108 | + terms governing use of certain open source components that may be |
| 109 | + included in the software; c) remove, minimize, block, or modify any |
| 110 | + notices of Microsoft or its suppliers in the software; d) use the |
| 111 | + software in any way that is against the law or to create or |
| 112 | + propagate malware; e) share, publish, distribute, or lease the |
| 113 | + software; or f) provide the software as a stand-alone offering or |
| 114 | + combine it with any of your applications for others to use, or |
| 115 | + transfer the software or this agreement to any third party. |

| 117 | +7. **DATA.** |

| 119 | + - a\) Data Collection. The software may collect information about |
| 120 | + you and your use of the software, and send that to Microsoft. |
| 121 | + Microsoft may use this information to provide services and |
| 122 | + improve our products and services. You may opt-out of many of |
| 123 | + these scenarios, but not all, as described in the software |
| 124 | + documentation located at |
| 125 | + https://code.visualstudio.com/docs/supporting/faq#\_how-to-disable-telemetry-reporting. |
| 126 | + There are also some features in the software that may enable you |
| 127 | + and Microsoft to collect data from users of your applications. |
| 128 | + If you use these features, you must comply with applicable law, |
| 129 | + including providing appropriate notices to users of your |
| 130 | + applications together with a copy of Microsoft's privacy |
| 131 | + statement. Our privacy statement is located at |
| 132 | + https://aka.ms/privacy. You can learn more about data collection |
| 133 | + and its use from the software documentation and our privacy |
| 134 | + statement. Your use of the software operates as your consent to |

| 137 | + - b\) Data sharing with GitHub, Inc. Microsoft may share the data |
| 138 | + identified in subsection (a) with GitHub for the purpose of |
| 139 | + improving Copilot and the software. |

| 141 | +8. **EXPORT RESTRICTIONS. **You must comply with all domestic and |
| 142 | + international export laws and regulations that apply to the |
| 143 | + software, which include restrictions on destinations, end users, and |
| 144 | + end use. For further information on export restrictions, visit |
| 145 | + https://aka.ms/exporting. |

| 147 | +9. **SUPPORT SERVICES. **Microsoft is not obligated under this |
| 148 | + agreement to provide any support services for the software. Any |
| 149 | + support provided is "as is", "with all faults", and without warranty |
| 150 | + of any kind. |

| 152 | +10. **ENTIRE AGREEMENT. **Without limiting Section 1(b), this agreement, |
| 153 | + and any other terms Microsoft may provide for supplements, updates, |
| 154 | + or third-party applications, is the entire agreement for the |
| 155 | + software. |

| 157 | +11. **APPLICABLE LAW AND PLACE TO RESOLVE DISPUTES.** If you acquired |
| 158 | + the software in the United States or Canada, the laws of the state |
| 159 | + or province where you live (or, if a business, where your principal |
| 160 | + place of business is located) govern the interpretation of this |
| 161 | + agreement, claims for its breach, and all other claims (including |
| 162 | + consumer protection, unfair competition, and tort claims), |
| 163 | + regardless of conflict of laws principles. If you acquired the |
| 164 | + software in any other country, its laws apply. If U.S. federal |
| 165 | + jurisdiction exists, you and Microsoft consent to exclusive |
| 166 | + jurisdiction and venue in the federal court in King County, |
| 167 | + Washington for all disputes heard in court. If not, you and |
| 168 | + Microsoft consent to exclusive jurisdiction and venue in the |
| 169 | + Superior Court of King County, Washington for all disputes heard in |
| 170 | + court. |

| 172 | +12. **CONSUMER RIGHTS; REGIONAL VARIATIONS. **This agreement describes |
| 173 | + certain legal rights. You may have other rights, including consumer |
| 174 | + rights, under the laws of your state or country. Separate and apart |
| 175 | + from your relationship with Microsoft, you may also have rights with |
| 176 | + respect to the party from which you acquired the software. This |
| 177 | + agreement does not change those other rights if the laws of your |
| 178 | + state or country do not permit it to do so. For example, if you |
| 179 | + acquired the software in one of the below regions, or mandatory |
| 180 | + country law applies, then the following provisions apply to you: |

| 182 | + - a\) Australia. You have statutory guarantees under the |
| 183 | + Australian Consumer Law and nothing in this agreement is |
| 184 | + intended to affect those rights. |

| 186 | + - b\) Canada. If you acquired this software in Canada, you may |
| 187 | + stop receiving updates by turning off the automatic update |
| 188 | + feature, disconnecting your device from the Internet (if and |
| 189 | + when you re-connect to the Internet, however, the software will |
| 190 | + resume checking for and installing updates), or uninstalling the |
| 191 | + software. The product documentation, if any, may also specify |
| 192 | + how to turn off updates for your specific device or software. |

| 194 | + - c\) Germany and Austria. i. Warranty. The properly licensed |
| 195 | + software will perform substantially as described in any |
| 196 | + Microsoft materials that accompany the software. However, |
| 197 | + Microsoft gives no contractual guarantee in relation to the |
| 198 | + licensed software. ii. Limitation of Liability. In case of |
| 199 | + intentional conduct, gross negligence, claims based on the |
| 200 | + Product Liability Act, as well as, in case of death or personal |
| 201 | + or physical injury, Microsoft is liable according to the |
| 202 | + statutory law. Subject to the foregoing clause ii., Microsoft |
| 203 | + will only be liable for slight negligence if Microsoft is in |
| 204 | + breach of such material contractual obligations, the fulfillment |
| 205 | + of which facilitate the due performance of this agreement, the |
| 206 | + breach of which would endanger the purpose of this agreement and |
| 207 | + the compliance with which a party may constantly trust in |
| 208 | + (so-called \"cardinal obligations\"). In other cases of slight |
| 209 | + negligence, Microsoft will not be liable for slight negligence. |

| 211 | +13. **DISCLAIMER OF WARRANTY. THE SOFTWARE IS LICENSED "AS IS." YOU BEAR |
| 212 | + THE RISK OF USING IT. MICROSOFT GIVES NO EXPRESS WARRANTIES, |
| 213 | + GUARANTEES, OR CONDITIONS. TO THE EXTENT PERMITTED UNDER APPLICABLE |
